This Investor Purchase Agreement ("Agreement") is made between Verano Residences ("The Company") and the Investor ("You") for the purpose of outlining the terms and conditions of your investment. By proceeding, you acknowledge and agree to the terms outlined below.

Key Terms and Conditions

• Investment Description: Your investment provides a stake in Verano Residences' revenue and profits as per the agreed terms.
• Revenue Sharing: Investors will receive 50% of the gross revenue or profits based on the terms of the investment.
• Voting Rights: Investors are entitled to vote on key corporate decisions, including board member elections and strategic planning.
• Duration: The investment agreement spans 4 years (payback period), after which the investor may exit or reinvest. Post payback, 15% of annual profits will be allocated for the next 10 years.
• Payment and Withdrawal: The investment will be refunded upon the conclusion of the payback period, or reinvestment options can be discussed.

Rights and Obligations

• Transparency: Investors are entitled to regular financial and operational updates, including annual reports, performance metrics, and strategic insights.
• Participation: Investors have the right to participate in decisions involving hotel management, expansion, and marketing strategies.
• Debt Approval: Any significant debt financing that may impact profitability requires investor approval.

Legal Obligations

Both parties agree to comply with applicable laws and regulations. Verano Residences ensures proper fund management and operational efficiency. Any breach of this agreement entitles the Investor to seek legal recourse.
